THE FRANK MOFFETT MOSIER FELLOWSHIP

FOR WORKS IN HEIGHTENED LANGUAGE

SYNECDOCHE WORKS, LLC, (the “Company”) would like to thank you (the “Playwright”) for your interest in submitting literary material (the “Work”) to be considered for THE FRANK MOFFETT MOSIER FELLOWSHIP FOR WORKS IN HEIGHTENED LANGUAGE (the “Fellowship”). The Fellowship award to Playwright is $3,000. We invite you to review Company’s submission policies and procedures below. Company will only accept and consider a Work if Playwright signs and agrees to the submission policies set forth below. If two or more Playwrights are making a submission as co-authors, each Playwright must sign and agree to the submission policies set forth below.

SUBMISSION REQUIREMENTS

Playright’s submission will only be considered when accompanied by a fully signed and executed copy of this agreement. Submissions must be in a heightened version of the English language in order to provide a meaningful challenge to the actors. This includes, but is not limited to, works using meter, verse, rhyming schemes, pidgins, creoles, and code-switching. Plays must contain at least 60% heightened language. Submissions may be translations or adaptations of works in the public domain. Submissions should target a minimum 40-minute final running time. Playwrights awarded a Fellowship must be willing to participate in a brief rehearsal process culminating in an online video reading of their submitted work. Playwright has kept at least one copy of the Work and releases Company from any and all liability for loss or other damage to the copies of the submitted Work. Company accepts English-language Works from anywhere in the world.

SUBMISSION DEADLINE FOR 2023-2024

Submissions close April 30, 2024. Submissions open November 1, 2023.

DISCLOSURE OF SCRIPTED MATERIAL IS NOT CONFIDENTIAL

You authorize Company to discuss your Work with its employees and collaborators to evaluate its overall potential. You furthermore acknowledge and understand that any consideration and discussion of your submission does not create a binding and confidential relationship.

SUBMISSION WITHOUT COMPENSATION

Review of your Work does not imply that Company agrees to compensate you in any way. However, should Company choose to explore the use of your Work, or any portion that is legally protectable, Company will enter into negotiations with you to determine fair and equitable compensation. Should the Playwright’s Work be produced in a commercial setting after winning the Fellowship award, Company shall be entitled to a participatory income right of one-quarter of one percent (0.25%) in the Gross Box Office (“GBO”) of future productions in which Company is not involved, plus a name credit.

WITHDRAWAL OF SUBMISSION

Playwright has the right to withdraw their submission from consideration at any time, for any reason. Withdrawal requests must be submitted in writing and are not required to specify a reason.

SUBMISSION WITHOUT PREJUDICE

Company’s consideration of the submission, or negotiations to further develop the Work, does not waive Company’s right to confirm, or if appropriate, contest Playwright’s copyrights and intellectual property rights.

OTHER WORKS

Company may already be exploring Works and ideas generated by its employees, or other outside sources, that resemble your submission. In certain circumstances, Company may have considered Playwright’s ideas in the past or similar or identical ideas that may have been generated independently. Therefore, Playwright agrees to renounce any claim that Company misappropriated any ideas or portions of Playwright’s submission in any future Company productions. Playwright agrees they are not entitled to any compensation because of the use by Company of any such similar idea or material.

RIGHT OF REJECTION

Company has the right to reject submitted Works at any time and for any reason. Company has no obligation to consider submitted Works or to send notifications to Playwrights unless they have been awarded a Fellowship. Company is not responsible for any costs incurred by Playwright in connection with submitted Works. However, Company will cover reasonable fees necessary to discourse funds to fellowship recipients, including wire transfer fees and cashier’s check fees. Award of a Fellowship is not guaranteed for any submission period. Fellowship award funds do not accrue.

FELLOWSHIP RECIPIENT CREDIT REQUIREMENTS

Playwrights awarded a Fellowship may refer to the award as “Recipient of the Frank Moffett Mosier Fellowship, Synecdoche Works, for ” or equivalent wording, in English or any other language. The full name of the fellowship and “Synecdoche Works” must be included. Subsequent programs, publications, and adaptations of Playwright’s awarded Work must include a brief acknowledgment of Synecdoche Works, e.g., “This work was supported in part by a fellowship grant from Synecdoche Works.” Playwright has the right to request that Company refers to them by a different name than their legal name in public documents. Playwright warrants they are permitted to use an alias, nom de plume, or pseudonym. Playwrights awarded a Fellowship are responsible for ensuring any award funds disbursed to them by Company are directed to the correct address, bank account, or other designated location. Unless special arrangements are made, any funds will be disbursed electronically, or by bank check. Playwrights awarded a Fellowship are responsible for any taxes and legal fees applicable to the acceptance of the Fellowship award. Playwrights awarded a fellowship have the right to decline a Fellowship for any reason, but if declined, may not refer to themselves as a recipient of a Fellowship.</p>

WARRANTIES AND INDEMNITIES

By submitting the Work for consideration, Playwright warrants they have the authority to enter into this Agreement and that the submission does not and will not conflict with any other contractual commitments of Playwright, or interfere with the performance of Playwright’s obligations related to the submission, and Playwright is the author of all submitted Work, and all elements of the Work are wholly original with Playwright and will not be copied in whole or in part from any other work, except to the extent that the Work is based on another work in the Public Domain. Playwright further represents and warrants that the Work is not in the public domain; does not violate, conflict with, or infringe upon any personal or property rights whatsoever of any person or entity, including without limitation, any copyright, trademark, or other proprietary rights of others; nor does it contain anything that is libelous, an invasion of privacy or an infringement on the copyright, trademark or other intellectual property rights of any third person, or is otherwise unlawful. Playwright will defend, indemnify and hold Company, and Company’s agents, licensees and assigns, harmless from and against any liability, loss, expense, or damage, including reasonable legal fees and expenses, incurred by any of them in connection with or relating to the breach or alleged breach of any of Playwright’s warranties and representations in this agreement.

FORCE MAJEURE

Neither Company nor Playwright shall be held liable or responsible to the other, nor be deemed to have defaulted under, or breached this Agreement for failure or delay in fulfilling or performing any obligation under this Agreement, when such failure or delay is caused by or results from causes beyond the reasonable control of the affected party, including but not limited to fire, floods, embargoes, war, acts of war, insurrections, riots, strikes, lockouts or other labor disturbances, pandemics, illness, death, or acts of God; provided, however, that the party so affected shall use reasonable commercial efforts to avoid or remove such causes of non-performance, and shall continue performance with reasonable dispatch whenever such causes are removed. Either party shall provide the other party with prompt written notice of any delay or failure to perform that occurs by reason of force majeure. Company may terminate this Agreement with immediate effect. In such event, Company’s obligation to make payment of the Fellowship shall be null and void and Company shall have no other liability to Playwright.

DISPUTE RESOLUTION

This submission agreement is governed by the Laws of the State of California. In the event of any dispute, claim, question, or disagreement arising from or relating to this agreement or the breach of the agreement, the parties will use their best efforts to settle the dispute, claim, question or disagreement. To this effect, they will consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered in California by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration, litigation, or some other dispute resolution procedure. If they do not reach such a solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions or differences shall be finally settled by arbitration in California administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules.

AGE OF PLAYWRIGHT

Playwright acknowledges they are at least 18 years of age. Playwrights under the age of majority in their home countries require the permission of a legal guardian in order to apply for a Fellowship and to accept a Fellowship award from Company.

MODIFICATION

Playwright agrees that the above submission terms and conditions may not be changed or waived except by a writing signed by the Playwright and an officer of Company.

Submission constitutes acceptance of these terms and conditions.
